It writes to records, triggers workflows, sends communications, and makes consequential decisions continuously, at scale, without a person clicking submit. The governance design your board approved was built for a different kind of system. That mismatch is your current exposure.

This is not a future risk. The agents are already running.
The distinction that matters here is not technical. It is architectural. Human-reviewed AI — the kind that drafts a recommendation and waits for a person to act on it — fits comfortably inside existing oversight structures. A person sees the output before it has consequences. Approval workflows, four-eyes principles, escalation protocols: these mechanisms were designed for exactly this model, and they work well within it. Agentic AI operates differently. It perceives conditions in its environment, decides, and acts. The human is not in the loop at the moment of action. They may be in the loop before the agent is configured, or after an exception surfaces, but not when the consequential decision is made. Oversight designed for the first model does not extend to the second. The difference is structural, not a matter of degree.
Existing governance wasn’t built for this
The constraint is not that existing governance structures are poorly designed. Most of them are well designed for the problem they were built to solve. But the problem has changed, and governance has not kept pace.
Human-reviewed AI keeps humans as the final causal agents. Every consequential action traces back to a person who saw the AI’s output and chose to act. Accountability flows through that person. Audit trails are legible because the decision point is visible. Existing frameworks — risk committees, delegated authority schedules, data governance policies — were built on the assumption that a human being would occupy that decision point. The accountability design works because the causal structure it assumes is present.
Agentic AI removes that causal agent from the consequential moment. The agent decides and acts within parameters set earlier, by different people, under different conditions, for purposes that may have been entirely reasonable at the time. When something goes wrong — a workflow triggered incorrectly, a record written with incorrect data, a communication sent outside its intended scope — the accountability question that existing frameworks are designed to answer (“who approved this?”) resolves to a configuration decision made weeks or months prior. That answer does not satisfy a regulator, a board, or a minister.
The reason this constraint persists in organisations that do most things right is precisely that those organisations do most things right. Their governance structures are functional. Their AI deployment followed proper approval processes. The agents were reviewed before deployment. What did not get redesigned was the ongoing oversight architecture: the mechanisms that would catch an agent operating outside its intended parameters, not at the moment of deployment, but at the ten-thousandth action it takes after deployment, in conditions its original configurers did not anticipate. The Governance Institute of Australia’s 2026 board priorities survey found that while 69% of directors reported using AI for board-level work, the governance gap between deployment and ongoing oversight had become a primary concern for chairs (Governance Institute of Australia, 2026). Deployment governance and operational governance are different problems. Most organisations have solved the first and are only beginning to name the second.
The governance question has already changed
If the diagnosis above is correct, the board’s accountability question has already shifted, whether or not the board has noticed.
The old question was: was this AI output reviewed before a person acted on it? That question has a clean answer for human-reviewed AI. This isn’t the right question for agentic AI, since the agent acted directly. The new question is:
- Are the conditions under which this agent operates correctly bounded?
- Do executives have ongoing visibility of whether those bounds are being respected in practice?
This reframe has immediate consequences. The relevant governance artefact is no longer an approval record but a boundary specification: a document that describes, with precision, what the agent is permitted to do, under what conditions, and how exception handling is handled when those conditions are not met. Audit readiness requires not just a record of what the agent did, but a record of what it was constrained to do and whether those constraints held. The Australian Cyber Security Centre’s joint guidance on AI in operational technology, published in late 2025, identified boundary specification and exception governance as the two highest-leverage controls for AI in consequential environments (Australian Cyber Security Centre, 2025). That guidance was written for critical infrastructure. Its logic applies anywhere an agent is acting on behalf of an organisation without human review at the point of action.
The compounding cost of waiting is not hypothetical. Organisations that continue operating agentic AI under oversight architectures designed for human-reviewed AI are accumulating a governance liability with every action the agent takes. Each of those actions is a potential exception point, a moment where the agent’s behaviour diverged from what the organisation would have chosen had a human been present. The longer the oversight architecture remains misaligned, the larger the gap between what the organisation authorised and what the agent actually did becomes. Deloitte Australia’s 2026 State of AI in the Enterprise report found that only 22% of Australian organisations have an advanced model for agent governance in place, while most continue operating agents without the oversight architecture to support them (Deloitte Australia, 2026). That gap has a compound cost that does not appear in deployment metrics.
Early movers hold a stronger position
The direction from here does not require rebuilding governance from the ground up. It requires:
- Targeted redesign of the boundary specifications under which agents operate, the monitoring mechanisms that surface exceptions.
- Accountability model that names who owns the agent’s behaviour after deployment — not who approved its deployment.
Executives who undertake this redesign now are not working ahead of a risk that hasn’t materialised. The agents are running. The gap between what the governance architecture assumes and what the agents are actually doing persists today, compounding with each cycle. The question is not whether to close it. The question is whether the board has clearly named it so we know where to start.
An organisation that can describe its agentic AI governance architecture with precision — not its deployment approval process, but its ongoing operational oversight — holds a stronger position in the next regulatory and accountability conversation than organisations still working from the wrong model.
